Ascendant GOAT grants you permission to use the Site and its Content, provided that (a) your use is solely for personal, non-commercial use; (b) you do not modify or sell the Content; and (c) you do not reproduce, display, publicly perform, distribute or otherwise use the Content for any public or commercial purpose, including use of the Content on any other website. Furthermore, as a condition of your use of the Site, you warrant that you will not use the Site for any purpose that is unlawful, malicious, destructive, harmful, or prohibited by these Terms and Conditions. You further agree not to use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site. You may not obtain or attempt to obtain or obtain access to any content.

5. ACCOUNT CREATION

You may be required to create an account for the purpose of using or ordering a product or service on our Site. • (a) Ascendant GOAT Content. The Site will include, without limitation, text, graphics, images, photos, text, logos, trademarks, patents, names, processes, policies, data, claims or videos that are owned by us, are proprietary in nature and are subject to protection by national and international intellectual property law (“Content”).
• (b) User Content. We may allow you to upload content to our Site (“User Content”). All content displayed, shared, entered or uploaded to the Site will become the property of Ascendant GOAT, its affiliates and/or subsidiaries. By posting content on our Site, you agree and understand that we assume no responsibility for any User Content posted or provided on our Site. When you upload or input User Content, you convey any proprietary rights to us. You may not upload any materials, data, videos, text, images, media, graphics, sound files, records or other content that may:
◦ (i) be used to slander, harass or threaten any third party, entity or individual;
◦ (ii) include content considered profane, obscene or otherwise inappropriate;
◦ (iii) include a virus, worm, bug, Trojan horse or any other malicious malware that may damage, copy, distribute, disseminate or reverse engineer this website or its contents;
◦ (iv) allow unauthorized access to the company’s data, materials, drawings, images, records, media and/or customer information
◦ (v) access the Site for use in an unauthorized manner or to access personal or customer identifying information, lists, records, data or electronic payment information. All Site Content is protected as a collective work under EU and international copyright laws. We retain copyright in the selection, display and arrangement of all Content.

As a service and convenience to our customers, we may provide links to third party websites (“Linked Site(s)”). The Ascendant GOAT processes, products, services, the Ascendant GOAT word mark, Ascendant GOAT logos and/or other Ascendant GOAT trade names, slogans or trade dress referenced herein are trademarks of Ascendant GOAT, its affiliates and/or subsidiaries. The names of other companies and products mentioned herein may be trademarks of their respective owners.

12. SOCIAL MEDIA OPTIONS

The Site may include social media sharing, sharing options and other integrated tools (for example the “Like” and “Share” buttons on Facebook and Instagram and the share, like and generate content options via Twitter, Instagram, Facebook, Youtube , Google+, etc.) (“Social Network Options”). Social Media Options are controlled by or permit social interaction with certain third-party social networks or third-party platforms (“Social Network” or “Platform”). These are created and maintained by third parties who have no affiliation with us and/or are not controlled by us. Your use of Social Network Options is subject to the applicable terms of use and privacy policies of the Social Networks and Platforms. If you do not agree with the practices described in these terms, you should not use the Site’s integration with these Social Networks or Platforms. However, if you do so, you will not be able to enjoy all the options available on our Site. Ascendant GOAT is not responsible for how users use the Social Media Options and/or Social Networks or Platforms.

You represent that your use of the Site(s) shall comply with all applicable laws. It is your responsibility to be aware of any regulations governing your use of the Site(s) and to comply with applicable law. You agree to defend, indemnify and hold harmless Ascendant GOAT and its affiliates, subsidiaries, agents, representatives and other authorized users, and all of their respective officers, directors, owners, employees, agents, representatives and assigns of the foregoing entities and against any and all claims , damages, obligations, losses, liabilities, costs, attorneys’ fees and expenses arising from or relating to (a) your use of the Site, (b) your violation of the Terms and Conditions, (c) your violation of any rights of a third party, including , among others, copyright, trademark or privacy right.

14. GENERAL

• (a) These Terms and Conditions are governed by the laws of the Portuguese State. You agree to the exclusive jurisdiction and venue of courts in Portugal in all disputes arising out of or relating to the use of the Site. You agree that no joint venture, partnership, employment or agency relationship exists between you and Ascendant GOAT, its affiliates and/or subsidiaries as a result of these Terms and Conditions or use of the Site(s).
• (b) If any part of these Terms and Conditions is determined to be invalid or unenforceable pursuant to applicable law, including, without limitation, the warranty, disclaimers and limitation of liability set out above, then the invalid or unenforceable provision will be deemed superseded by a valid and enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms and Conditions will continue in effect.
• (c) Unless otherwise specified herein, these Terms and Conditions, together with the Privacy Policy, the Terms of Sale and any other policy contained on the Site constitute the entire agreement between you and Ascendant GOAT with respect to( s) Site(s) and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Ascendant GOAT with respect to the Site(s). Ascendant GOAT reserves the right to change these Terms and Conditions at any time without prior notice, and it is your responsibility to review these Terms and Conditions for any changes. Your use of the Site following any changes to these Terms and Conditions will signify your assent to and acceptance of the revised terms.
• (d) A printed version of these Terms and Conditions and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms and Conditions to the same extent and subject to the same conditions as other business documents. and records originally generated and maintained in printed format.

15. GIFT CARDS

No fees apply to Ascendant GOAT Gift Cards and they do not expire (except to the extent required by law). Ascendant GOAT gift cards can be redeemed towards the purchase of products provided at www.ascendantgoat.ae. Ascendant GOAT Gift Cards cannot be used for payments outside of www.ascendantgoat.ae; used for unauthorized advertising, marketing, sweepstakes or other promotional purposes; redeemed for more than face value; redeemed for money; or returned for a cash refund. Risk of loss and title for Gift Cards passes to the purchaser upon transmission of the Gift Card to the purchaser or designated recipient. We are not responsible if any Gift Card is stolen or destroyed, or if any Gift Card is used without your permission.
We reserve the right, without prior notice, to void gift cards without refund, suspend or terminate your ability to use our services, cancel or limit orders, and charge alternative forms of payment if we suspect that a gift card has been obtained, used or applied to a purchase fraudulently, illegally or otherwise in breach of these terms and conditions.
